1. Accepting these terms

2. What trōfik provides

Trofik provides advisory services and software that helps project teams capture engagement, organize project information, analyze evidence, prepare communications, and practice responses. Features may change as the service develops. Any proposal, order form, or statement of work may describe additional commitments for a particular customer.

3. Accounts and access

• Use only accounts and projects you are authorized to access.
• Keep passwords and access links confidential and use reasonable security precautions.
• Provide accurate account information and promptly tell us about suspected unauthorized access.
• You are responsible for activity performed through your account unless caused by Trofik's failure to use reasonable safeguards.

4. Your information and responsibilities

You retain your rights in information you submit. You authorize Trofik and its service providers to host, copy, transmit, analyze, and otherwise process that information only as needed to operate the service, provide requested work, protect the service, and meet the applicable agreement.

You are responsible for ensuring that you have the rights, authority, notices, and permissions needed to submit information, including stakeholder details, recordings, photographs, survey responses, communications, and confidential material. Do not submit information that you are prohibited from providing.

5. Acceptable use

You may not use the website or platform to:

• Break the law, violate another person's rights, or misrepresent your identity or authority.
• Collect, monitor, or profile people unlawfully or without required notice or permission.
• Make fully automated decisions about a person's legal rights, employment, credit, housing, essential services, or similarly significant interests.
• Upload malicious code, disrupt the service, bypass access controls, probe for vulnerabilities without written authorization, or impose unreasonable load.
• Reverse engineer or copy protected parts of the service except where applicable law expressly permits it.
• Use outputs as fabricated evidence, impersonate a real stakeholder, or present a synthetic composite as a real person or statistically representative public opinion.

6. AI-assisted features

Some features use artificial intelligence. AI can produce incomplete, inaccurate, or unexpected results. Outputs are assistance, not verified fact, legal advice, or a substitute for qualified professional judgment. You must review important outputs and supporting evidence before relying on, publishing, or acting on them. See our AI & Data Notice.

7. Trofik materials

Trofik and its licensors retain rights in the website, software, designs, brands, methods, and other materials we provide, excluding your information. Subject to these terms and any customer agreement, we give authorized users a limited, revocable, non-transferable right to use the service for its intended business purpose.

If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.

8. Third-party services and public sources

The service may connect to third-party services or public sources. Their content, availability, and terms are outside our control. A link, citation, or integration does not mean Trofik endorses the source or guarantees its accuracy. You remain responsible for complying with third-party terms that apply to your accounts or content.

9. Suspension and termination

We may restrict or suspend access when reasonably necessary to protect users or the service, investigate misuse, comply with law, prevent material harm, or address a serious breach of these terms. Customer termination, data return, and deletion are governed primarily by the applicable written agreement.

10. Service availability and disclaimers

We work to provide a reliable and secure service, but no service is error-free or continuously available. Except for commitments in a signed agreement and to the extent permitted by law, the website and platform are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Responsibility for loss

To the extent permitted by law, Trofik Impact LLC will not be liable under these website terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Nothing in these terms limits responsibility that cannot legally be limited. A signed customer agreement may contain different or more specific limits.

12. Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes relating solely to these website terms will be brought in state or federal courts located in New York, unless applicable law requires otherwise.

13. Changes

We may update these terms to reflect changes in the service, law, or our practices. We will publish the updated version and date here. If a material change applies to an existing customer service, we will provide any notice required by the applicable agreement or law.
